Exceed the scope of the Services to which you have signed up (e.g. by accessing or using tools that you do not have the right to access, or by deleting, adding, or modifying comments or content from other users); Upload files for the sole purpose of our storage and external use of the Site created by using the Services; Create with custom programming a website that provides a harmful user experience. Various examples may include, without limitation, banners with extreme glare, excessive animated movement, or content that may give unsuspecting visitors seizures; Use, under no circumstances, any open source software subject to the GNU Affero General Public License v.3 and higher; Abuse our customer services through email, chat, phone or our agents; o Take any action while using the Services that is detrimental to it or to the reputation of Tropical Destination LLC, as determined by the latter in its sole discretion. We reserve the right to cancel any account or remove any user found to have violated any of the above prohibitions. Payments 13.1. You must maintain a valid form of payment on file with us to pay all incurred and recurring Charges. Tropical Destination LLC will collect the applicable Fees from any valid payment method that you authorize (“Authorized Payment Method”), and Tropical Destination LLC will continue to collect the applicable Fees from the authorized payment method until the Services are cancelled, and the have paid in full all outstanding Charges. Unless otherwise indicated, all Charges and other commissions are expressed in Dominican Peso and all payments will be made in the Dominican currency. Subscription charges are paid in advance and will be billed at 30-day intervals (each such date is referred to as a "Billing Date"). Transaction Fees and Additional Fees will be assessed from time to time at the discretion of Tropical Destination LLC. You will be charged on each Billing Date for all outstanding Charges not previously charged. The Charges will appear on an invoice, which will be sent to the Store Owner via the email provided. In addition, an invoice will appear on the Account page of your Store's administration panel. Users have approximately two weeks to raise and resolve any issues related to the billing of Subscription Charges. If we are unable to process payment for Charges using an authorized payment method, we will make a second attempt to process payment using any authorized payment method 3 days later. If the second attempt is unsuccessful, we will make a final attempt 3 days after the second attempt. If our last attempt fails, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon payment of any outstanding Charges, plus any Charges applicable to your next billing cycle. You may not be able to access your Account or your main store page during any period of suspension. If the outstanding Charges remain unpaid for 60 days after the suspension date, Tropical Destination LLC reserves the right to cancel your Account. You are responsible for all applicable Taxes arising out of or as a result of your subscription to or purchase of products and services from Tropical Destination LLC. To the extent these Taxes are collected by Tropical Destination LLC, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Charges for such products and services and will be billed to your authorized form of payment. If you are exempt from paying such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate meeting applicable legal requirements attesting to tax-exempt status. The tax exemption will only apply from the date we receive evidence that satisfies Tropical Destination LLC of your exemption. If Taxes are not collected from you by Tropical Destination LLC, you are responsible for determining whether the Taxes are payable and, if so, remitting the Taxes yourself to the appropriate tax authorities in the Dominican Republic. For the avoidance of doubt, all amounts payable by you to Tropical Destination LLC under these Terms of Service will be paid without deductions or withholdings of any kind. Other than the Taxes that Tropical Destination LLC collects from you and that are remitted on your behalf to the appropriate tax authorities, any other deductions or withholdings required by law will be your responsibility and will be paid separately to the appropriate tax authority. Tropical Destination LLC shall be entitled to charge the full amount of the Charges set forth in these Terms of Service to your authorized payment method, ignoring any deductions or withholdings that may be required. 13.2. Tropical Destination LLC does not make refunds. Sales through Tropical Destination LLC will NOT offer or sell Commercial Products that: are illegal or potentially illegal, including counterfeit, stolen, restricted by historical significance or fraudulent products. Commercial Products sold through the Services must comply with applicable regulations, including Commercial Products sold to persons outside of the United States; infringe or attempt to infringe the intellectual property or privacy rights of a third party or that may be libelous, libelous, or defamatory in any way; we determine, in our sole discretion, inappropriate, offensive, pornographic, sexually explicit, or violent; or are produced as, or whose primary intent to use is to be used as a weapon, including firearms, restricted devices, or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products are "weapons" for purposes of the Terms; use images or names of third parties (including prominent personalities or celebrities) to offer or sell Commercial Products without first obtaining the third party's permission. Cancellation and Termination You may cancel your Account and terminate the Terms of Service at any time by sending an email to support@Tropical Destination LLC.com and following the specific instructions indicated in Tropical Destination LLC's response. Upon termination of the Services by either party for any reason: Tropical Destination LLC will cease to provide the Services to you and you will no longer be able to access your Account; unless otherwise provided in the Terms of Service, you will not be entitled to any refund of any Charges, pro rata or otherwise; any outstanding balance owed to Tropical Destination LLC for use of the Services up to the effective date of such termination shall be immediately due and payable in full; and your Store website will go offline. If you purchased a domain name through Tropical Destination LLC, canceling your domain will no longer automatically renew. Upon termination, it will be your sole responsibility to handle all matters relating to your domain with the domain provider. If, by the date of termination of the Service, there are any outstanding Charges owed by you, you will receive a final invoice by email. Once the invoice has been paid in full, you will not be charged again. We reserve the right to modify or terminate the Tropical Destination LLC Service, Terms of Service and/or your Account for any reason, without notice at any time. Termination of the Terms of Service is without prejudice to any other rights or obligations arising prior to the date of termination. Fraud: Without limiting any other remedies, Tropical Destination LLC may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation or otherwise) have engaged in fraudulent activity related to your use of the Services. We are not responsible for the information or content that is removed. Modifications to the Service and Prices The Prices for the use of the Services are subject to changes with 30 days notice from Tropical Destination LLC. Such notice may be provided at any time by posting the changes on the Tropical Destination LLC site (Tropical Destination LLC.com) or in the administration menu of your Tropical Destination LLC store through an announcement. Tropical Destination LLC reserves the right at any time, and from time to time, to modify or discontinue the Services (or any part thereof) with or without notice. Tropical Destination LLC shall not be held liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. Beta Services Tropical Destination LLC may from time to time, in its sole discretion, invite you to use, on a trial basis, beta or pre-release features that are under development and not yet available to all Merchants ("Beta Services"). Beta Services may be subject to additional terms and conditions that Tropical Destination LLC will provide to you prior to your use of the Beta Services. Such Beta Services and all conversations and materials related to them will be considered Confidential Information of Tropical Destination LLC and will be subject to the confidentiality provisions of this Agreement. You agree, without limiting the generality of the foregoing, that you will not make public statements or disclose your participation in the Beta Services without the prior written consent of Tropical Destination LLC. Tropical Destination LLC makes no claim or warranty that the Beta Services will work. Tropical Destination LLC may discontinue the Beta Services at any time in its sole discretion. Tropical Destination LLC shall not be held liable for any damages arising out of or in connection with the Beta Services. The Beta Services may not function in the same way as the final version. Tropical Destination LLC may change or not publish a final or commercial version of a beta Service at our sole discretion. Comments and Reviews Tropical Destination LLC welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances shall the disclosure of any ideas, suggestions or related material or any review of the Services, any Third Party Services or any Third Party Provider (collectively, "Feedback") to Tropical Destination LLC be subject to any obligation of confidentiality or expectation of compensation. By submitting Comments to Tropical Destination LLC (whether sent directly to Tropical Destination LLC or posted on any forum or page hosted by Tropical Destination LLC), you waive any and all rights in the Comments and Tropical Destination LLC is free to implement and use the Comments if it wishes, as proposed by you or as modified by Tropical Destination LLC, without obtaining permission or license from you or any third party. Any Third Party Service or Third Party Provider reviews you submit to Tropical Destination LLC must be as accurate as possible to the best of your knowledge, and must not be unlawful, obscene, threatening, defamatory, invade privacy, infringe proprietary rights intellectual or in any way offend third parties or be objectionable. Tropical Destination LLC reserves the right (but not the obligation) to remove or edit a Comment from Third Party Services or Third Party Providers, but does not regularly inspect posted Comments.
