Milestyles may reject your Account application or terminate an existing Account for any reason, in our sole discretion. 3.2. You must be over: (i) 18 years of age to open an Account under Dominican law. 3.3. You confirm that you receive any Services provided by milestilos for the purpose of carrying out a commercial activity and not for any personal purpose. 3.4. You agree that Milestilos will use as the primary method of communication between you the email address that you provided during registration for an Account, or that you have updated from time to time. You are responsible for keeping your password secure. milestyles cannot and will not be liable for any loss or damage arising as a result of your failure to maintain the security of your Account and password. 3.5. You are responsible for all activity and content, including photos, images, video, graphics, written content, audio files, code, information or data uploaded, collected, generated, stored, displayed, distributed, transmitted or displayed on or in connection with your Account ("Materials"). 3.6. A breach or violation of any term in the Terms of Service, as determined in the sole discretion of milestilos, may result in immediate termination of your Services. 3.7. With Employee Accounts, the Store Owner can set permissions and allow others to work on their Account and determine the level of Employee Accounts' access to specific business information (for example, you can limit Accounts' access to employees to sales information on the Reports page or prevent Employee Accounts from changing general store settings). Store Owner is responsible for acts, omissions, or failures resulting from the use of Employee Accounts in fulfilling the obligations set forth in these Terms of Service as if they were acts, omissions, or failures of Store Owner. The Store Owner and users of Employee Accounts are known as a “milestyles User”. 4.3 PayPal Express Checkout and Stripe Accounts Upon completion of registration with the Service, milestilos will create a PayPal Express Checkout account on your behalf, using your email address. Depending on your location, milestilos may also create a Stripe account in your name. You acknowledge that PayPal Express Checkout and/or Stripe will be your default payment gateway(s) and that it is your sole responsibility as Store Owner to activate and maintain this account(s). . If you do not wish to keep any of your paid accounts active, it is your responsibility to deactivate them. For the avoidance of doubt, PayPal Express Checkout is an External Service to these Terms of Service. 4.4 Domain Names When you purchase a domain name through milesstyles, the domain registration will automatically renew annually by default, as long as your milesstyles Account remains active. You acknowledge that it is your sole responsibility to disable the automatic renewal feature if you so choose. 4.5 Website Security You are responsible for maintaining the security of your account and website, for all activities that occur or for actions taken under or in connection with the website. You agree to notify us immediately in writing of any unauthorized use of your account or any breach of security. We are not responsible for damage or loss resulting from your failure to comply with this security obligation. You acknowledge and agree that neither we nor any of our associates, subsidiaries, officers, directors or employees are liable under any circumstances or in any manner for any of your acts or omissions thereof, by you or any third party, including damages of any kind incurred as a result of such acts or omissions. General Conditions You must read, agree and accept all the terms and conditions contained in these Terms of Service, including the Privacy Policy before you can become a user of milestilos. Technical support in connection with the Services is provided only to Milestilos Users and is only available by email. The Terms of Service will be governed by and construed in accordance with the laws of the Province of Santo Domingo and the applicable laws of the Dominican Republic, without taking into account the principles of conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herein. You acknowledge and agree that milestyles may amend these Terms of Service at any time by posting the corresponding amended and restated Terms of Service on the milestyles website, available at https://www.milestyles.com/terms and that such amendments to the Terms of Service will be effective from the date of publication. Your continued use of the Services after the posting of the amended Terms of Service on the milestilos website constitutes your agreement and acceptance of the amended Terms of Service. If you do not accept any of the changes to the Terms of Service, please do not continue to use the Service. You may not use the milestilos Services for any illegal or unauthorized purpose, nor may you, by using the Service, violate any laws in your jurisdiction (including, but not limited to, copyright laws), laws governing apply to you in your client's jurisdiction. or the laws of the Dominican Republic and the Province of Santo Domingo. You will comply with all applicable laws, rules and regulations when using the Service and in complying with your obligations under the Terms of Service. You must not purchase keywords from search engines or other pay-per-click words (such as Google AdWords) or domain names using milestyles or the milestyles trademarks and/or misspellings or variations thereof. You understand that your Materials (excluding credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to meet and adapt to technical requirements for connecting networks or devices. Credit card information is always encrypted during transfer over networks. All the terms and provisions of these Terms of Service will be binding and will benefit the parties signing these Terms and their respective legatees, successors, authorized successors in title and legal representatives. milestilos may assign these Terms of Service without your notice or consent. You shall not have the right to assign or transfer these Terms of Service, or any of your rights or obligations under them, to any third party without the prior written consent of milestyles, which milestyles will grant or withhold at its sole discretion. If any provision, or part thereof, of these Terms of Service is, for any reason, held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision (or part unaffected by provision) of the Terms of Service, and the Terms of Service shall be construed as if such invalid, illegal, or unenforceable provision, or part of the provision, was never included in the Terms of Service. Milestilos Contracting Party If your Store's billing address is in the Dominican Republic, this Clause 6 applies to you: The “milestilos Contracting Party” means SEO Consulting NM, SRL, a Dominican company, with offices located at Calle Enrique Henriquez, No.13, Gazcue, Santo Domingo, National District, Dominican Republic. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Santo Domingo with respect to any litigation or claim arising out of or related to the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herein. The "milestilos Contracting Party" means SEO Consulting NM, SRL, a private company limited by shares, incorporated in Santo Domingo, National District with RNC:131457673, its website is located at https://milestilos.com/ You irrevocably accept and unconditionally submit to the jurisdiction of the courts of the Dominican Republic, which have jurisdiction to resolve any dispute that may arise from or in connection with the validity, effect, interpretation or performance of these Terms of Service, and likewise you irrevocably and unconditionally waive the right to object to any claim brought in the form of a lawsuit, action or proceeding by milesstyles in any other jurisdiction. Milestyle Rights We reserve the right to modify or discontinue the Services for any reason, without notice, at any time. Not all Services and features are available in all jurisdictions and we are not obligated to make Services or features available in any jurisdiction. We reserve the right to refuse service to anyone for any reason at any time. We may, but are not required to, remove Materials and suspend or terminate Accounts if we determine, in our sole discretion, that goods or services offered through a Store, or Materials uploaded or posted to a Store, violate our Privacy Policies. Privacy or these Terms of Service. Verbal or written abuse of any kind (including threats of abuse or retribution) of any milesstyles customer, employee, member or authority of milesstyles will result in immediate account closure. Milestyles does not pre-screen Materials and we are free to reject or remove any Materials from the Service, including your Store. We reserve the right to provide our services to your competition and do not promise exclusivity for any particular market segment. In addition, you acknowledge and agree that employees and contractors of milestilos may also be customers or merchants of milestilos and may compete with you, although they may not use your Confidential Information (as defined in Section 6) to do so. In the event of an Account ownership claim, we reserve the right to request documentation to determine or confirm ownership of the Account. Documentation may include, but is not limited to, a scanned copy of your business license, a government-issued photo ID, the last four digits of your credit card on file, your status as an employee of a entity etc Milestyles reserves the right to determine, in our sole discretion, the rightful ownership of the Account and to transfer an Account to the rightful Store Owner. If we cannot reasonably determine the rightful Owner of the Store, without prejudice to our other rights and remedies, milestilos reserves the right to temporarily deactivate an Account until a resolution has been reached between the parties in dispute. Confidentiality "Confidential Information" shall include, but is not limited to, all information related to a party's business that is not public knowledge, including specific business information, technical processes and formulas, software, lists of customers, prospect lists, names, addresses and other information about customers and prospects, product designs, sales, costs (including any relevant processing fees), price lists and other unpublished financial information, business plans and data marketing, and any other confidential and proprietary information, regardless of whether it is marked as confidential or proprietary. milestilos Confidential Information includes any information you receive in connection with us or the Services that is not known to the general public, including information related to our program and security practices. Limitation of Liability You expressly understand and agree that, to the extent permitted by applicable law, milesstyles shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, customers, usage, data or other intangible losses resulting from the use or inability to use the Service. To the extent permitted by applicable law, Milestilos or our suppliers shall in no event be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (even if they arise from negligence). You agree to indemnify us and hold us and (as applicable) hold our parent, subsidiaries, affiliates, milestilos Partners, authorities, directors, agents, employees and suppliers harmless from any claim or demand, including reasonable attorneys' fees, arising out of third party due to or arising out of your breach of these Terms of Service or the documents it includes by reference, or your violation of any law or the rights of a third party. Your use of the Services is at your own risk. The Services are provided "as is" and "as available" without any warranty or condition, express, implied or statutory. milestyles does not warrant that the Services will be uninterrupted, timely, secure, or error-free. milestyles does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable. Milestyles does not warrant that the quality of any products, services, information or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected. Waiver and Entire Agreement The failure of milesstyles to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service, including the documents they incorporate by reference, constitute the entire agreement between you and milestyles, and govern your use of the Services and your Account, superseding any prior agreements between you and milestyles (including, without limitation, any previous version of the Terms of Service). Intellectual Property and User Generated Content We do not claim any intellectual property rights in the Materials you provide to the milestilos Service. All Materials you upload belong to you. You can delete your milestyle store at any time by deleting your Account. By uploading Materials, you agree to: (a) allow other Internet users to view Materials that you publicly post on your Store; (b) allow milesstyles to store, and in the case of Materials you post publicly, display and use your Materials; and (c) that Milestilos may, at any time, review and remove all Materials submitted to its Service, although Milestilos is not obligated to do so. You retain ownership of all Materials you upload to the Store; however, by making your Store public, you agree to allow others to see the Materials that you publicly post to your Store. You are solely responsible for the compliance of the Materials with any applicable laws or regulations. Milestyles shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with your Store to promote the Service. In other words, you grant us and our affiliated subsidiaries and successors a worldwide, non-exclusive, royalty-free, fully paid up, transferable, irrevocable, perpetual, sublicensable right to use, reproduce, modify, adapt, publish, prepare derivative works , distribute, publicly perform, and publicly display your Content worldwide in any medium. Content, Rules of Conduct and Obligations Any information, data, text, software, music, sound, photos, graphics, video, messages, goods, products, services or other materials that you post to a website through the Services (the "Content" ) are the sole property of the person from whom such Content originated. You are responsible for all Content that you upload, post, transmit, or otherwise make available through the Services. We do not control the Content you post through the Services. Your Content does not include non-personally identifiable data from buyer/seller transactions or behavioral data derived from the use of the milestyles e-commerce platform (collectively, "Platform Data"). milestilos owns all the data Platform and uses it for its service operations, improvements and analytics. You are also responsible for creating a backup of your Content. By using the Services, you may be exposed to content that is offensive, indecent or rude. Under no circumstances are we responsible for Content you post or content posted by third parties, including without limitation, errors or omissions in your Content, damages or loss of any kind incurred through the use of any Content posted, transmitted or otherwise available through the Services. You acknowledge that we do not review Content, but we maintain the right (but not the obligation) to reject, change, or remove any Content available on our Service. We also maintain the right to remove any Content that violates the Terms or is otherwise objectionable to us. You must evaluate and bear the potential risks of using any Content. You may not rely on any Content created by us. You acknowledge and agree that we may retain and disclose Content if we are required to do so by law or in a good faith belief that such preservation or disclosure is necessary to: (a) comply with legal process; (b) comply with these Terms; (c) respond to claims for Content that may contravene the rights of third parties; or (d) protect our rights, property, or personal safety and that of our users and the public. Promote or provide instructive information about illegal activities, promote physical violence or harm to a group or individual, or promote any act of cruelty against animals. This includes, without limitation, providing instructions on how to prepare bombs, grenades, or other incendiary weapons or devices; Use the Services to redirect to another website or fraudulently manipulate Google or other web positioning search engines, or Facebook or any social networks or sites with "Likes" and the like. Request passwords or personal identification data from third parties for illegal activities or identity theft. Exceed the scope of the Services to which you have signed up (e.g. by accessing or using tools that you do not have the right to access, or by deleting, adding, or modifying comments or content from other users); Upload files for the sole purpose of our storage and external use of the Site created by using the Services; Create with custom programming a website that provides a harmful user experience. Various examples may include, without limitation, banners with extreme glare, excessive animated movement, or content that may give unsuspecting visitors seizures; Use, under no circumstances, any open source software subject to the GNU Affero General Public License v.3 and higher; Abuse our customer services through email, chat, phone or our agents; o Take any action while using the Services that is detrimental to it or to the reputation of milestilos, as determined by the latter in its sole discretion. We reserve the right to cancel any account or remove any user found to have violated any of the above prohibitions. Payments 13.1. You must maintain a valid form of payment on file with us to pay all incurred and recurring Charges. milestilos will collect the applicable Fees from any valid payment method you authorize (“Authorized Payment Method”), and milestilos will continue to charge the authorized payment method the applicable Fees until the Services are cancelled, and paid in full. all outstanding Charges. Unless otherwise indicated, all Charges and other commissions are expressed in Dominican Peso and all payments will be made in the Dominican currency. Subscription charges are paid in advance and will be billed at 30-day intervals (each such date is referred to as a "Billing Date"). Transaction Fees and Additional Fees will be assessed from time to time at the discretion of milesstyles. You will be charged on each Billing Date for all outstanding Charges not previously charged. The Charges will appear on an invoice, which will be sent to the Store Owner via the email provided. In addition, an invoice will appear on the Account page of your Store's administration panel. Users have approximately two weeks to raise and resolve any issues related to the billing of Subscription Charges. If we are unable to process payment for Charges using an authorized payment method, we will make a second attempt to process payment using any authorized payment method 3 days later. If the second attempt is unsuccessful, we will make a final attempt 3 days after the second attempt. If our last attempt fails, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon payment of any outstanding Charges, plus any Charges applicable to your next billing cycle. You may not be able to access your Account or your main store page during any period of suspension. If the outstanding Charges remain unpaid for 60 days after the suspension date, milestilos reserves the right to cancel your Account. You are responsible for all applicable Taxes arising out of or as a result of your subscription to or purchase of milestilos products and services. To the extent these Taxes are collected by milesstyles, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Charges for such products and services and will be billed to your authorized form of payment. If you are exempt from paying such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate meeting applicable legal requirements attesting to tax-exempt status. The tax exemption will only apply from the date we receive satisfactory evidence of your exemption. If milestilos does not collect the Taxes from you, you are responsible for determining whether the Taxes are payable and, if so, remitting the Taxes yourself to the appropriate tax authorities in the Dominican Republic. For the avoidance of doubt, all amounts payable by you to milestylos under these Terms of Service will be paid without deductions or withholdings of any kind. Apart from the Taxes that milesstyles collect from you and that are remitted on your behalf to the corresponding tax authorities, any other deductions or withholdings required by law will be your responsibility and will be paid separately to the corresponding tax authority. milesstyles will be entitled to charge the full amount of the Charges stipulated in these Terms of Service to your authorized payment method, ignoring any deductions or withholdings that may be necessary. 13.2. Milestyles does not make refunds. Sales Through Milestyles will NOT offer or sell Commercial Products that: are illegal or potentially illegal, including counterfeit, stolen, restricted for historical significance, or fraudulent products. Commercial Products sold through the Services must comply with applicable regulations, including Commercial Products sold to persons outside of the United States; infringe or attempt to infringe the intellectual property or privacy rights of a third party or that may be libelous, libelous, or defamatory in any way; we determine, in our sole discretion, inappropriate, offensive, pornographic, sexually explicit, or violent; or are produced as, or whose primary intent to use is to be used as a weapon, including firearms, restricted devices, or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products are "weapons" for purposes of the Terms; use images or names of third parties (including prominent personalities or celebrities) to offer or sell Commercial Products without first obtaining the third party's permission. Cancellation and Termination You may cancel your Account and terminate the Terms of Service at any time by sending an email to support@milestilos.com and following the specific instructions indicated in milestilos' response. Upon termination of the Services by either party for any reason: milestilos will cease to provide the Services to you and you will no longer be able to access your Account; unless otherwise provided in the Terms of Service, you will not be entitled to any refund of any Charges, pro rata or otherwise; any outstanding balance owed to milesstyles for use of the Services up to the effective date of such termination shall be immediately due and payable in full; and your Store website will go offline. If you purchased a domain name through milestyles, canceling your domain will no longer automatically renew. Upon termination, it will be your sole responsibility to handle all matters relating to your domain with the domain provider. If, by the date of termination of the Service, there are any outstanding Charges owed by you, you will receive a final invoice by email. Once the invoice has been paid in full, you will not be charged again. We reserve the right to modify or terminate the Milestyles Service, Terms of Service and/or your Account for any reason, without notice at any time. Termination of the Terms of Service is without prejudice to any other rights or obligations arising prior to the date of termination. Fraud: Without limiting any other remedies, milestilos may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation or otherwise) have engaged in fraudulent activity related to your use of the Services. We are not responsible for the information or content that is removed. Modifications to the Service and Prices The Prices for the use of the Services are subject to changes with 30 days prior notice from milesstyles. Such notice may be provided at any time by posting the changes on the milestylos site (milestilos.com) or in the administration menu of your milestilos store through an announcement. Milestyles reserves the right at any time, and from time to time, to modify or discontinue the Services (or any part thereof) with or without notice. Milestyles will not be held liable to you or to any third party for any modification, price change, suspension or discontinuation of the Service. Milestyle Beta Services may from time to time, in its sole discretion, invite you to use, on a trial basis, beta or pre-release features that are under development and are not yet available to all Merchants (“Beta Services”). may be subject to additional terms and conditions that milestyles will provide to you prior to your use of the Beta Services. Such Beta Services and all conversations and materials related to them will be considered Confidential Information of milestilos and will be subject to the confidentiality provisions of this Agreement. You agree, without limiting the generality of the foregoing, that you will not make public statements or disclose your participation in the Beta Services without the prior written consent of milestilos. Milestyles does not make any representations or warranties that the Beta Services will work. Milestyles may discontinue the Beta Services at any time in its sole discretion. milestyles shall not be held liable for any damages arising out of or in connection with the Beta Services. The Beta Services may not function in the same way as the final version. milestyles may change or not publish a final or commercial version of a beta Service at our sole discretion. Comments and Reviews milestyles welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances will the disclosure of any ideas, suggestions or related material or any review of the Services, Third Party Services or any Third Party Provider (collectively, "Feedback") to milesstyles be subject to any obligation of confidentiality or expectation of compensation. . By submitting Comments to milestylos (whether sent directly to milestylos or posted on any forum or page hosted by milestylos), you waive any and all rights in the Comments and milestylos is free to implement and use the Comments. Comments if you wish, as proposed by you or as modified by milesstyles, without obtaining permission or license from you or from third parties. Any Third Party Service or Third Party Provider reviews you submit to milestilos must be as accurate as possible to the best of your knowledge, and must not be unlawful, obscene, threatening, defamatory, invasive of privacy, infringing on intellectual property rights, or in any way offend third parties or be objectionable. Milestyles reserves the right (but not the obligation) to remove or edit a Comment from Third Party Services or Third Party Providers, but does not regularly inspect posted Comments.
