Account Activation 4.1 Store Owner The person who subscribes to the Service by opening an Account will be the contracting party (hereinafter "Store Owner") for the purposes of our Terms of Service and will be the person who is authorized to use any applicable Account that we may provide to the Store Owner in connection with the Service. If you are subscribing to the Services on behalf of your employer, your employer will be the Store Owner. Your Pay2Market store can only be associated with one Store Owner. A Store Owner can have multiple Pay2Market stores. “Store” means the online store or retail establishments associated with the Account. 4.2 Employee Accounts You may create one or more employee accounts (hereinafter “Employee Accounts”) that allow other people to access the Account. With Employee Accounts, the Store Owner can set permissions and allow others to work on their Account and determine the level of access of Employee Accounts to specific business information (for example, you can limit Accounts' access to employees to sales information on the Reports page or prevent Employee Accounts from changing general store settings). Store Owner is responsible for any acts, omissions or failures resulting from the use of Employee Accounts in compliance with the obligations set forth in these Terms of Service as if they were acts, omissions or failures of Store Owner. The Store Owner and users of Employee Accounts are known as a “Pay2Market User”. 4.3 PayPal Express Checkout and Stripe Accounts Upon completion of registration for the Service, Pay2Market will create a PayPal Express Checkout account on your behalf, using your email address. Depending on your location, Pay2Market may also create a Stripe account in your name. You acknowledge that PayPal Express Checkout and/or Stripe will be your default payment gateway(s) and that it is your sole responsibility as the Store Owner to activate and maintain these account(s). . If you do not wish to keep any paid accounts active, it is your responsibility to deactivate them. For the avoidance of doubt, PayPal Express Checkout is an external Service to these Terms of Service. 4.4 Domain Names When purchasing a domain name through Pay2Market, the domain registration will be automatically renewed annually for as long as your Pay2Market Account remains active. You acknowledge that it is your sole responsibility to turn off the automatic renewal feature if you so choose. 4.5 Website Security You are responsible for maintaining the security of your account and website, for all activities conducted or actions taken under or in connection with the website. You agree to notify us immediately in writing of any unauthorized use of your account or any breach of security. We are not responsible for any damage or loss resulting from your failure to comply with this security obligation. You acknowledge and agree that neither we nor any of our associates, subsidiaries, officers, directors or employees are liable under any circumstances, or in any manner, for any of your or any third party's acts or omissions, including damages of any kind incurred as a result of such acts or omissions. You should not purchase search engine keywords or other pay-per-click keywords (such as Google AdWords) or domain names that use Pay2Market or Pay2Market trademarks and/or their variations or are misspelled. You understand that your Materials (excluding credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to meet and adapt to technical requirements for connecting networks or devices. Pay2Market Rights We reserve the right to modify or discontinue the Services for any reason, without notice and at any time. Not all Services and features are available in all jurisdictions and we are not obligated to make Services or features available in any jurisdiction. We reserve the right to refuse to provide service to anyone for any reason at any time. We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine, in our sole discretion, that goods or services offered through a Store, or Materials uploaded or posted in a Store, violate our Privacy Policies. Privacy or these Terms of Service. Verbal or written abuse of any kind (including threats of abuse or retribution) of any Pay2Market customer, Pay2Market employee, member or authority will result in immediate account closure. Pay2Market does not pre-screen Materials and we are free to reject or remove any Materials from the Service, including your Store. We reserve the right to provide our services to your competition and do not promise exclusivity to any particular market segment. Additionally, you acknowledge and agree that Pay2Market employees and contractors may also be Pay2Market customers or merchants and may compete with you, although they may not use your Confidential Information (as defined in Section 6) to do so. In the event of a claim regarding Account ownership, we reserve the right to request documentation to determine or confirm ownership of the Account. Documentation may include, but is not limited to, a scanned copy of your business license, a photo ID issued by a government entity, the last four digits of the credit card on file, your status as an employee of a entity, etc. Pay2Market reserves the right to determine, in our sole discretion, the rightful ownership of the Account and transfer an Account to the rightful Store Owner. If we cannot reasonably determine the rightful Store Owner, without prejudice to our other rights and remedies, Pay2Market reserves the right to temporarily deactivate an Account until a resolution has been achieved between the disputing parties. Limitation of Liability You expressly understand and agree that, to the extent permitted by applicable laws, Pay2Market shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, clientele, use, data or other intangible losses resulting from the use or inability to use the Service. To the extent permitted by applicable laws, in no event will Pay2Market or our suppliers be liable for any loss of profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (even if arising from negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Pay2Market Partners, officers, directors, agents, employees and suppliers harmless from any claim or demand, including reasonable attorneys' fees, arising out of a third party due to or arising from your breach of these Terms of Service or the documents it includes by reference, or your violation of any law or the rights of a third party. Your use of the Services is at your own risk. The Services are provided "as is" and "as available" without any warranty or condition, express, implied or statutory. Pay2Market does not guarantee that the Services will be uninterrupted, timely, secure or error-free. Pay2Market does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable. Pay2Market does not warrant that the quality of any products, services, information or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected. Waiver and Entire Agreement The failure of Pay2Market to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service, including the documents they incorporate by reference, constitute the entire agreement between you and Pay2Market, and govern your use of the Services and your Account, superseding any prior agreements between you and Pay2Market (including, but not limited to, any previous version of the Terms of Service). Intellectual Property and User-Generated Content We do not claim any intellectual property rights in the Materials you provide to the Pay2Market Service. All Materials you upload belong to you. You can delete your Pay2Market store at any time by deleting your Account. By uploading Materials, you agree to: (a) allow other Internet users to view the Materials that you publicly post in your Store; (b) allow Pay2Market to store, and in the case of Materials that you post publicly, display and use your Materials; and (c) that Pay2Market may, at any time, review and remove all Materials submitted to its Service, although Pay2Market is not obligated to do so. You retain ownership of all Materials you upload to the Store; However, by making your Store public, you agree to allow others to view the Materials you publicly post in your Store. You are solely responsible for the compliance of the Materials with any applicable laws or regulations. Pay2Market shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with its Store to promote the Service. In other words, you grant us and our affiliated subsidiaries and successors a worldwide, non-exclusive, royalty-free, fully paid, transferable, irrevocable, perpetual and sublicensable right to use, reproduce, modify, adapt, publish, prepare derivative works , distribute, publicly perform and publicly display your Content throughout the world in any media. By using the Services, you may be exposed to offensive, indecent or rude content. Under no circumstances will we be liable for Content you post or content posted by third parties, including without limitation, any errors or omissions in your Content, any damages or losses of any kind incurred through the use of any Content posted, transmitted or otherwise available through the Services. You acknowledge that we do not screen Content, but we maintain the right (but not the obligation) to refuse, change, or remove any Content available on our Service. We also maintain the right to remove any Content that violates the Terms or is objectionable to us. You must evaluate and assume the possible risks of using any Content. You may not rely on any Content created by us. You acknowledge and agree that we may preserve and disclose Content if we are required to do so by law or in the good faith belief that such preservation or disclosure is necessary to: (a) comply with legal procedures; (b) comply with these Terms; (c) respond to claims that Content may infringe third party rights; or (d) protect our rights, property or personal safety and those of our users and the public. This includes unethical propaganda and marketing or any other practice linked in any way to "spam", such as (i) sending mass emails to recipients who have not requested that email or through a false sender, (ii) promote a website with inappropriate titles, descriptions or links, or (iii) promote your website by posting multiple submissions on public forums that are identical; contains any software viruses, worms, Trojan horses or any other computer code, files or programs that interrupt, destroy or limit the functionality of the Services, computer software or computer hardware or telecommunications equipment, or that may affect the ability of Pay2Market users to access the Service; seeks to take advantage of a user, such as “make money fast”, “earn money by browsing” strategies, multi-level or pyramid marketing, or other questionable strategies; or vii. is aimed exclusively at an adult audience, such as Content that shows nudity in a sexual context or is exclusively adult-themed or shows genitals; Harm minors in any way; "Harass", "intimidate" or harass any person in any way; Impersonate any person or entity, including, without limitation, any Pay2Market employee, host, guide or forum leader, or falsely state or misrepresent your affiliation with a person or entity; Forge headlines or manipulate identifiers to conceal the origin of any Content transmitted through the Services; Interfere with or disrupt the Services, or servers or networks connected to the Service, or disobey any requirements, legal processes, policies or regulations of networks connected to the Service; voluntarily or involuntarily, fail to comply with any provision of local law, or applicable international regulations and laws. Promote or provide instructional information about illegal activities, promote physical violence or harm towards a group or individual, or promote any act of cruelty against animals. This includes, without limitation, providing instructions on how to prepare bombs, grenades or other incendiary weapons or devices; Use the Services to redirect to another website or fraudulently manipulate Google or other web positioning search engines, or Facebook or any social network or sites with "Like" and similar. Request passwords or personal identification data from third parties for illicit activities or identity theft. Exceed the scope of the Services for which you have registered (e.g., by accessing or using tools that you do not have the right to access, or by deleting, adding or modifying comments or content from other users); Upload files for the sole purpose of our storage and external use of the Site created when using the Services; Using custom programming, create a website that provides a harmful user experience. Various examples may include, but are not limited to, banners with extreme flashing, excessive animated motion, or content that may cause epilepsy in unsuspecting visitors; Under no circumstances use any open source software subject to the GNU Affero General Public License v.3 or higher; Abuse our customer services through email, chat, telephone or our agents; or Take any action while using the Services that is detrimental to the Services or Pay2Market's reputation, as determined by Pay2Market in its sole discretion. We reserve the right to cancel any account or remove any user who has violated any of the stated prohibitions. Payments 13.1. You must maintain a valid payment method on file with us to pay all incurred and recurring Charges. Pay2Market will charge the applicable Fees to any valid payment method you authorize (“Authorized Payment Method”), and Pay2Market will continue to charge the authorized payment method the applicable Fees until the Services are canceled and paid in full. all pending charges. Unless otherwise indicated, all Charges and other fees are expressed in Dominican Peso and all payments will be made in Dominican currency. Subscription charges are payable in advance and will be billed in 30-day intervals (each such date is a “Billing Date”). Transaction Fees and Additional Fees will be charged from time to time at the discretion of Pay2Market. You will be charged on each Billing Date for all outstanding Charges not previously charged. The Charges will appear on an invoice, which will be sent to the Store Owner via the email provided. Additionally, an invoice will appear on the Account page of your Store admin panel. Users have approximately two weeks to raise and resolve any issues regarding billing for Subscription Charges. If we are unable to process payment for the Charges using an authorized payment method, we will make a second attempt to process the payment using any authorized payment method 3 days later. If the second attempt is unsuccessful, we will make a final attempt 3 days after the second attempt. If our last attempt fails, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon payment of any outstanding Charges, plus any Charges applicable to your next billing cycle. You may not be able to access your Account or your main store page during any suspension period. If any outstanding Charges remain unpaid for 60 days after the suspension date, Pay2Market reserves the right to cancel your Account. You are responsible for all applicable Taxes arising from or as a result of your subscription or purchase of Pay2Market products and services. To the extent Pay2Market charges these Taxes, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Charges for such products and services and will be billed to your authorized payment method. If you are exempt from paying such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate that meets applicable legal requirements attesting to your tax-exempt status. The tax exemption will only apply from the date we receive evidence satisfying Pay2Market of your exemption. If Pay2Market does not collect Taxes from you, you are responsible for determining whether the Taxes are payable and, if so, remitting the Taxes yourself to the appropriate tax authorities in the Dominican Republic. For the avoidance of doubt, all sums payable by you to Pay2Market under these Terms of Service will be paid without deductions or withholdings of any kind. Other than the Taxes that Pay2Market collects from you and that are remitted on your behalf to the appropriate tax authorities, any other deductions or withholdings required by law will be borne by you and paid separately to the appropriate tax authority. Pay2Market shall have the right to charge the full amount of the Fees set forth in these Terms of Service to your authorized payment method, ignoring any deductions or withholdings that may be necessary. 13.2. Pay2Market does not issue refunds. Sales through Pay2Market will NOT offer or sell Commercial Products that: are illegal or potentially illegal, including counterfeit, stolen, restricted by historical significance or fraudulent products. Commercial Products sold through the Services must comply with applicable regulations, including Commercial Products sold to persons not located in the United States; infringe or attempt to infringe the intellectual property or privacy rights of a third party or which may be libelous, libelous, or defamatory in any way; we determine, solely in our sole discretion, to be inappropriate, offensive, pornographic, sexually explicit, or violent; or are produced as, or whose primary intent of use is to be used as weapons, including firearms, restricted devices or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products are “weapons” for purposes of the Terms; use images or names of third parties (including prominent personalities or celebrities) to offer or sell commercial Products without first obtaining the permission of the third party. Cancellation and Termination You may cancel your Account and terminate the Terms of Service at any time by sending an email to support@Pay2Market.com and following the specific instructions indicated in Pay2Market's response. Upon termination of the Services by either party for any reason: Pay2Market will cease to provide the Services to you and you will no longer be able to access your Account; unless otherwise provided in the Terms of Service, you will not be entitled to any refund of any Fees, pro rata or otherwise; any outstanding balance owed to Pay2Market for use of the Services up to the effective date of such termination will be immediately due and payable in full; and your Store website will go offline. If you purchased a domain name through Pay2Market, upon cancellation your domain will no longer be automatically renewed. Following termination, it will be your sole responsibility to handle all matters relating to your domain with the domain provider. If by the date of termination of the Service, there are any outstanding Charges owed by you, you will receive a final invoice by email. Once the invoice has been paid in full, you will not be charged again. We reserve the right to modify or terminate the Pay2Market Service, the Terms of Service and/or your Account for any reason, without notice at any time. Termination of the Terms of Service will be without prejudice to any other rights or obligations arising before the date of termination. Fraud: Without limiting any other remedies, Pay2Market may suspend or terminate your Account if we suspect that you (through conviction, settlement, insurance or escrow investigation or otherwise) have engaged in fraudulent activities related to your use of the Services. We are not responsible for information or content that is deleted. Modifications to the Service and Prices Prices for the use of the Services are subject to change with 30 days prior notice from Pay2Market. Such notification may be provided at any time by posting the changes on the Pay2Market site (Pay2Market.com) or in the administration menu of your Pay2Market store via an announcement. Pay2Market reserves the right at any time and from time to time to modify or discontinue the Services (or any part thereof) with or without notice. Pay2Market will not be held liable to you or any third party for any modification, price change, suspension or discontinuance of the Service. Beta Services Pay2Market may from time to time, in its sole discretion, invite you to use, on a trial basis, beta or pre-release features that are under development and not yet available to all Merchants ("Beta Services"). may be subject to additional terms and conditions that Pay2Market will provide to you prior to your use of the Beta Services. Such Beta Services and all discussions and materials related thereto shall be considered Confidential Information of Pay2Market and shall be subject to the confidentiality provisions of this Agreement. You agree, without limiting the generality of the foregoing, that you will not make public statements or disclose your participation in the Beta Services without the prior written consent of Pay2Market. Pay2Market does not claim or guarantee that the Beta Services will work. Pay2Market may discontinue the beta Services at any time in its sole discretion. Pay2Market will not be held liable for any damages arising from or related to the Beta Services. Beta Services may not function in the same way as the final version. Pay2Market may change or not publish a final or commercial version of a Beta Service at our sole discretion. Feedback and Reviews Pay2Market welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances will the disclosure of any ideas, suggestions or materials relating to or any review of the Services, any Third Party Services or any Third Party Provider (collectively, “Feedback”) to Pay2Market be subject to any obligation of confidentiality or expectation of compensation. . By submitting Feedback to Pay2Market (whether submitted directly to Pay2Market or posted on any forum or page hosted on Pay2Market), you waive any and all rights in the Feedback and Pay2Market is free to implement and use the Feedback. Comments if you wish, as proposed by you or as modified by Pay2Market, without obtaining permission or license from you or any third party. Any review of a Third Party Service or Third Party Provider that you submit to Pay2Market must be as accurate as possible to the best of your knowledge, and must not be unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or in any way offend third parties or be objectionable.
